Choose the applicant according to the intended legal owner, not convenience alone. Record individual or company identity and any assignment arrangements. A shareholder and the company are different persons; rights held personally are not automatically company assets.
Worked file: the founder leaves but a personally owned mark remains central to the company. Identify the registered proprietor and any licence or assignment. Agree ownership documentation and required recordal before assuming the company can transfer or renew the right as its own asset.
Inventor and applicant
The inventor is the person who created the invention; the applicant is the person entitled to seek the right. Document employment, assignment or succession as relevant. Naming the inventor does not by itself resolve title to the application.
Design assignment and licensing
Separate assignment of design ownership from a licence permitting specified use. Identify design numbers, parties, territory, duration and permitted activities, then verify the register formalities. A commercial licence does not automatically transfer title to the licensee.
Patent assignment and licensing
Separate patent assignment from a licence to exploit specified rights. Identify patent/application numbers, territories, exclusive/non-exclusive terms and register requirements. A licence agreement does not automatically make the licensee the patent owner.
